3.2 The JVC will answer the [•][Relevant authority] to participate on the [•] trials to be expected in [•][Year]. Company A will make every effort to be eligible to receive the RFP from [•][Relevant authority] to enable the JVC to bid as prime contractor. Company B will provide the technical support and hardware to support those pre-RFP efforts.


3.3 After receiving the RFP i.e request for proposal, the JVC will develop two XYZ System (prototypes) according to the requirements of the Ministry of .......... .


3.4 Company B will advise the complete list of equipment and laboratory apparatus required for manufacturing and integrating of the XYZ System for proposal submission. The JVC will procure these equipment globally after the contract award of the Program.


3.5 The JVC will set up complete infrastructure anywhere in [•][Specific country] to enable it to integrate and manufacture XYZ System for the Project and the Program.


3.6 Company B will assist the JVC in setting up such infrastructure by transferring necessary technology for integration of the system for the Project and thereafter will transfer technology to produce sub-assemblies and other components at the facilities created by the JVC for the Program. All these activities are subject to a production and license agreement (P&L Agreement) to be signed by the JVC, Company A and Company B after an RFP of the Ministry of for the XYZ System will be released and before the submission of a JVC proposal to the Ministry of


3.7 Company B will provide existing and already developed hardware (sub- assemblies) and required technical know-how, as well as facilities to assemble and qualify two XYZ System for [•] trials (Project).


3.8. If required, the JVC, Company A and/or Company B will review and agree to team up with other suppliers for system components like missile, ammunition, vehicle platform and integrated Logistic Support (ILS). 

3.9 The JVC will obtain full marketing rights for [•][Specific country] domestic market. Other marketing rights for other markets (less Europe) will be agreed upon by Company A and Company B on a case by case basis.


3.10 The JVC will obtain production rights for final assembly and delivery to the Ministry of ........ . Other production rights for customers other than the Ministry of.......... will be agreed upon by Company A and Company B on a case by case basis (less Europe).


3.11 The JVC will take full responsibility for life cycle support after delivery of the contracted configuration to the Ministry of.............. . Company B will support the contractually committed life cycle management in a customer contract and will provide the necessary engineering support to the JVC in order to generate the necessary engineering change proposals.


3.12 Company A and Company B will jointly develop a detailed work share concept, program schedule and funding requirement, including [] trials, until RFP award.
